Responsibilities
- Draft, review and negotiate a wide variety of agreements including international cloud software agreements, master services agreements, sales licensing agreements, amendments, NDAs, Data Processing Agreements and vendor agreements
- Ensure compliance with security, export control, sanctions and privacy regulations
- Assist with employee-related/HR matters
- Assist with pre-litigation claims and litigation matters related to contracts
- Assist with corporate governance matters for subsidiaries
- Draft and maintain internal security, export control, sanctions, ESG and privacy policies
- Assist in M&A acquisitions and post-acquisition integrations
- Assist with real estate transactions
Skills
- Bachelor's degree
- J.D. from an accredited law school
- Current license to practice law in Massachusetts
- 1-3 years of corporate legal experience in a law firm or in house setting
- Intellectual property coursework or experience a plus
